Fans of "third party not-Transformers", bootlegs, and over sized knockoff products tend to defend them by saying such things as, "if Hasbro cared they would do something about them" or "they're legal in China, things are more relaxed there". But that's never been entirely true. We've seen Hasbro do things like ban their sale (and attempted to do so with fan art) at BotCon and once requested the removal of their coverage from news sites while China has protected three dimensional trademarks (like toys) since 2001. They even introduced the administrative raid system for speedy resolutions and special "well-known" trademark protections based on consumer knowledge.

And that brings us to the current topic. Hasbro has announced on their corporate site that they've successfully defended their Transformers trademark in a criminal counterfeit case in a Chinese court based on an administrative raid from 2017. Hasbro claims this is only the latest in a string of cases with more to come. In this case three defendants were found guilty including two unnamed people that have been jailed and fined and an unidentified corporation that has been fined as well.

Hasbro Trademark Rights Upheld in Criminal Case Involving Counterfeit TRANSFORMERS Products in China

December 20, 2018

PAWTUCKET, R.I.—December 20, 2018-- The Chinese court in Dongguan city of Guangdong Province has issued a judgment favorable to Hasbro, Inc. (NASDAQ: HAS) in a criminal case involving counterfeit TRANSFORMERS products.

Hasbro initiated an administrative raid action in 2017, which was transferred to the Public Security Bureau (PSB) due to the volume of counterfeit product and seriousness of the case. After a thorough investigation, three separate defendants, including two individuals and one corporate defendant, were found guilty of counterfeiting Hasbro’s trademarks and fined by the court, and the two individuals were sentenced to jail time. Thousands of counterfeit TRANSFORMERS products were confiscated and destroyed.

With strong support from various Chinese authorities, Hasbro has initiated many actions to enforce its intellectual property rights in China, and this is the latest of several criminal judgments involving counterfeit Hasbro products issued by Chinese courts in recent years.

“We take the protection of our intellectual property very seriously, and we will continue to investigate and pursue those who infringe on our rights,” said Tarrant Sibley, Hasbro’s Chief Legal Officer. “We are pleased with the ruling in this case, and will continue to vigorously enforce our intellectual property rights to combat the manufacturing and distribution of counterfeit products.”

In what more-or-less constitutes another stage in an ongoing saga, US and International Amazon has resumed shipping its products to Australian customers this morning. This is quite good news for Australian online collectors, but given the time since the last development, a small amount of background may not go amiss.

In mid-2017, the Australian government announced its intent to apply GST on imports of all value, even below $1000 (the previous minimum to apply tax). In response some large international retailers, eBay and Amazon included, threatened to stop shipping items from their international branches to Australia. Though the change was subsequently postponed for a year, in mid-2018 it came into effect - and while eBay simply added GST for Australian buyers, Amazon followed through and prevented Australian customers from purchasing products from anywhere outside Australia.

Now it seems that decision has finally been reversed, allowing Australians to once again purchase and ship items from outside Australia. Though currently this is only possible on items sold directly by Amazon - third party sellers outside Australia still can't be bought from - this is great news for Australian collectors getting fed up with Amazon Australia's highly limited selection of Transformers, among other products.

There are a lot of corporate deals happening and many involve our beloved Transformers. We were sent a press release from Hasbro regarding an international distribution deal with Cartoon Network for Transformers: Cyberverse. Transformers: Cyberverse will be coming to Europe, Middle East, Africa and Latin America in late 2018. You can read the press release below.

In other deal news we have a pretty big one with confirmation that Paramount has partnered with Netflix to for a multi picture film deal. There are not a lot of details, but the article from the Observer states the following:
While no specific properties were mentioned on the call, the deal would seem to provide Netflix with access to valuable IP such as Transformers, Star Trek, Cloverfield and more.

We're getting news, alongside the quarterly investor calls and reports, that Hasbro seems to be having some issue at the moment, on a number of fronts.

According to a number of source, including the WPRI and the Providence Journal, there are indeed some 'difficult changes' happening over at the toy maker's, meaning that - despite no official confirmation - there may be some layoffs happening in the coming period (not ideal, given the holiday season approaching, and way too similar to the Toys R Us situation last year).

While the company won't confirm layoffs, Hasbro said Wednesday it is making "meaningful organizational changes" that will affect "a single-digit percentage" of its global workforce.

The Providence-based toymaker sent a statement to Eyewitness News after inquiries about possible layoffs at the company.

"While some of these changes are difficult, we must ensure we have the right teams in place with the right capabilities to lead the company into the future," spokeswoman Julie Duffy said in a statement. "We continue to add new capabilities based on our understanding of the consumer and how our retailers are going to market, while evolving the way we organize our business across our Brand Blueprint."


This, however, also follows what seems to be an investor lawsuit, conducted by Pomerantz Law Firm, concerning 'whether Hasbro and certain of its officers and/or directors have engaged in securities fraud or other unlawful business practices'. This apparently relates back to the financial report from last October, too.

The announcement of Hasbro making changes comes a day after Pomerantz Law Firm said that it is investigating claims on behalf of investors of Hasbro, Inc. as to whether Hasbro and certain of its officers and/or directors "have engaged in securities fraud or other unlawful business practices."

"The claims have no merit and we intend to vigorously defend against them," said Duffy and that the staff cuts are unrelated.

According to reports, in October of 2017 Hasbro said they saw a 5% decline in the Company’s U.S. and Canada segment’s operating profit to $217.3 million, compared to $228 million in 2016.

After the disclosures, Hasbro’s stock dropped $8.44 per share and closed at $89.75 per share on October 23, 2017.

Companies are required by law to tell their shareholders how their business is doing. These statements have to be truthful. The alleged fraud is basically that before the TRU bankruptcy, Hasbro said that things were okay, and after they weren't very okay. That's the gist of it. Ther no expectation that there are fudged numbers in a ledger, but if Hasbro knew the risks of the bankruptcy and didn't tell investors, that would make those statements false. I wouldn't recommend reading too much into this stuff.

Recently, the new Hasbro X Alpha Transformers MA-1, a bomber jacket designed to flip between a yellow Bumblebee theme or a G1 box art theme, went up pre-order. Well, thanks to seibertron xRotorstormx, we now have in hand images for this beast! Here, we get a closer look at the detail found on the jacket itself. The bomber jacket even has a tag pretending it's from the 1959 (despite it saying 2018 on the copyright)! The pictures mostly show the Bumblebee, default side, but you can clearly see on the inside the classical G1 box art printed onto the jacket!

We had covered the other day a story about the ongoing troubles of international toy retail chain Toys R Us, in which a return of the store to the US had been advanced by the company on a number of outlets. You can read that again here, but also integrated with some further details below.

According to USA Today, TRU is planning on a series of strategies to remain as a presence, including keeping Geoffrey the giraffe as its mascot, using pop up locations, and changing the name to Geoffrey's Toy Box. The full article here details further what is happening, including the short term business plan, and the presence of Solus Alternative Asset Management and Angelo Gordon funds behind the new company, plus some worker discontent at the latter, and how the new Geoffrey LLC owns the name for TRU and Babies R Us in all countries except Canada. They are also saying they hope to have pop-ups in place inside the stores of a regional mass merchant in time for the holidays, and to relaunch Toys R Us and Babies R Us stores down the road.

Geoffrey's Toy Box introduced itself to toy manufacturers and sellers Tuesday at the opening of the Dallas toy show, with an exhibit booth and a costumed Geoffrey mascot, who was spotted wearing a cape with the words "Back from Vacation." Toy manufacturers at the show were tweeting and posting on LinkedIn that they had spotted Geoffrey and Richard Barry, the former chief merchandising officer at Toys R Us who appears to be heading the new venture for the investors.

The new venture, for now, is being operated out of the Toys R Us headquarters building in Wayne, New Jersey, where a small number of former Toys R Us executives and employees continue to report to work.

We have news of a big shift and appointment over at Hasbro, as we see the promotion of Samantha Lomow to head of Hasbro Entertainment and John Berkowitz to Hasbro Brands, both still operating under John Frascotti, President and COO of the company. Samantha Lomow promoted to President, Hasbro Entertainment Brands; Jonathan Berkowitz promoted to President, Hasbro Brands


PAWTUCKET, R.I.—Hasbro, Inc. (NASDAQ: HAS) today announced the promotion of Samantha Lomow to President, Hasbro Entertainment Brands, and Jonathan Berkowitz to President, Hasbro Brands. Both leaders will continue to report to John Frascotti, Hasbro President and Chief Operating Officer.

During her 18-year tenure at the company, Ms. Lomow has played a tremendous role in growing Hasbro brands and expanding them beyond the toy space. She has been instrumental in the TRANSFORMERS franchise since the first movie in 2007, and she helped bring MY LITTLE PONY to the big screen for the first time.

In her new role, she will be responsible for leading all of Hasbro’s current, new and vault entertainment-driven, story-led brands. This includes oversight for MY LITTLE PONY, TRANSFORMERS and POWER RANGERS, among others, and continuing to partner with Allspark on emerging entertainment brands. She will also continue to lead Hasbro’s strategic partner portfolio, including relationships with The Walt Disney Company, Universal, Nickelodeon, Sesame Workshop and Blizzard Entertainment.

In his 15 years at Hasbro, Mr. Berkowitz has led a number of brands across the portfolio, including NERF, which he led to its Franchise Brand status in 2011. Most recently, he has overseen the Hasbro Gaming portfolio, which has grown significantly under his leadership with new products and brands, as well as reimagined classics. He has also been instrumental in rolling out the Company’s Quick Strike approach, which has become an important differentiator for Hasbro in getting trends and new product ideas to market in record time.

In his new role, Mr. Berkowitz will oversee the Hasbro Gaming portfolio, including MONOPOLY, as well as NERF, PLAY-DOH, BABY ALIVE, FURREAL, and initiatives driven by the Quick Strike team, among others. He will also manage all new and vault brands not driven by entertainment.
